Terms of Service

1. The agreement

Sothe is operated by Rothcroft LLC, a limited liability company formed in New Mexico, United States (“Sothe”, “we”, “us”). These Terms of Service form a binding agreement between you and Rothcroft LLC covering the Sothe website, dashboard and API (together, the “Service”). By creating an account, ticking the agreement box at sign-up, or using the API, you accept these terms, the Privacy Policy and the Model Terms.

If you are agreeing on behalf of a company, you confirm that you may bind it, and “you” means that company. If you do not agree, do not create an account.

2. Your account

You need an account to use the API. You must be at least 18 years old and give an email address you control. Keep your password and API keys to yourself: anything done with your credentials is treated as done by you, and the charges land on your balance.

One person or company may hold more than one account, but creating accounts to evade a limit, a suspension or a payment obligation is not allowed. Tell us at [email protected] if you think someone else has your credentials; you can also disable a key or sign every other session out from the dashboard at any time.

3. API keys

Inference keys (sk-so-v1-…) call models. Management keys are for administering the account and cannot call models. We store only a hash of each key, so a key is shown to you exactly once, when it is created — if you lose it, create another. Keys can be given a spend cap, an expiry and a per-minute request limit, and can be disabled or deleted at any time.

Do not publish a key, embed one in a mobile app or a browser page, or share one outside your organisation. If a key is exposed, disable it in the dashboard; usage before that point is still yours.

4. Credits and payment

The Service is prepaid. You buy credits and each request draws from that balance at the per-token prices published on the Models and Pricing pages. There is no subscription and no minimum commitment. Before a request runs we reserve the most it could cost; when it finishes you are charged for the tokens actually used and the rest of the reservation is released.

• Top-ups are between $5 and $5,000 at a time.
• A 4% platform fee is added on top of the credits you buy. It covers card processing and is shown before you pay.
• Card payments are handled by Stripe. We never receive your card number. Your statement will show Rothcroft LLC.
• Credits do not expire while your account is open.

Credits are non-refundable except where the law requires otherwise. We may, at our discretion, refund unused credits — for example if we close your account without cause — and a refund removes the corresponding credits from your balance. The platform fee is not refunded. If a payment is reversed or charged back, we may remove the credits it bought and suspend the account until the balance is settled.

Prices can change. Model prices follow what our upstream provider charges, so they can move at any time; the price that applies to a request is the one published when the request is made. Your own spend controls — key caps, workspace budgets and guardrails — are yours to set, and we are not liable for spend that occurs because they were not set.

5. Acceptable use

You agree not to use the Service to:

• break the law, infringe someone's rights, or help anyone else do either;
• produce or distribute child sexual abuse material, non-consensual intimate imagery, or content that sexualises minors;
• harass, threaten, defame or impersonate a real person, or generate material designed to deceive people about who wrote it where that deception causes harm;
• build or improve weapons, malware, or attacks against computer systems;
• process personal data of others where you have no lawful basis to do so, or feed us data you are not allowed to share;
• probe, scrape or overload the Service, work around rate limits, spend controls, authentication or our billing, or resell access in a way that hides that Sothe is the underlying provider from the rules in section 6;
• misrepresent model output as professional advice — medical, legal, financial or otherwise — without a qualified human in the loop.

The model providers' own acceptable-use policies apply to you as well, and are sometimes stricter than this list. See the Model Terms.

6. Models

Sothe routes your requests to third-party models hosted on Amazon Web Services. We do not make the models, and using one through Sothe means the provider's terms and acceptable-use policy apply to you as well. Which models exist, what they cost and whether they can be called changes over time; we may add, re-price, restrict or remove any model at any time, including one you depend on.

7. Availability and limits

The Service is provided without an uptime commitment or service-level agreement. We may change, interrupt or discontinue any part of it, and we depend on providers whose own outages we cannot prevent.

Technical limits — request size, media per request, and a default of 60 requests per minute per key unless you set your own — are documented under Limits and may be adjusted to keep the Service healthy. We may apply additional limits to an account that is degrading the Service for others.

8. Your content

“Input” is what you send us; “Output” is what the model returns. As between you and us, you keep whatever rights you have in your Input, and we claim no ownership of your Output. You are responsible for both: for having the right to send the Input, and for how you use the Output.

We use your Input only to run your request. We do not store prompts or completions, and we do not use them to train anything — see the Privacy Policy for exactly what is recorded. Output is generated by statistical models: it may be wrong, outdated or offensive, similar output may be produced for other people, and it is not a substitute for professional judgement.

9. Suspension and closure

You can close your account yourself at any time from the dashboard. Closing it deletes your profile, keys, presets and saved settings; usage records are kept in a form that no longer identifies you, because we need them for accounting and for the public rankings. Any remaining credit balance is forfeited on closure, subject to section 4.

We may suspend or close an account that breaches these terms, that we reasonably believe is being used unlawfully, that has an unpaid or reversed payment, or where we are required to. Where it is practical and lawful, we will tell you why.

10. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any model will remain available, or that Output will be accurate or suitable for your purpose.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised such damages were possible.

Our total liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the three months before the event giving rise to the claim, or (b) fifty US dollars. Nothing in these terms limits liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify Rothcroft LLC against third-party claims, damages and reasonable costs arising from your Input, your use of Output, your breach of these terms or of a model provider's terms, or your infringement of someone's rights.

13. Governing law and disputes

These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Mexico have exclusive jurisdiction, and both parties consent to venue there. The UN Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to these terms

We may update these terms. The “last updated” date at the top of this page always reflects the current version, and material changes will be announced in the dashboard or by email to the address on your account before they take effect. Continuing to use the Service after that means you accept the new version; if you do not, close your account.
